1. Welcome & What This Agreement Covers
This agreement is between Prosperity Group (“Prosperity Group,” “we,” “us,” or “our”) and you (“Client,” “you,” or “your”), meaning the organization, business, ministry, nonprofit, or individual subscribing to or purchasing our services.
By subscribing to, purchasing, or using any Prosperity Group service, you agree to these Terms & Conditions.
Prosperity Group provides professional websites and digital services designed to give organizations and businesses access to modern technology at a fraction of the traditional cost.
Our services may include website design, website hosting, maintenance, security, updates, technical support, digital tools, organizational resources, and integrations with third-party platforms.
The exact services available to each Client depend on the Client’s selected subscription plan, proposal, order, or service package.
These Terms & Conditions apply to all Prosperity Group services unless a separate written agreement specifically states otherwise.
2. Our Services
Prosperity Group may provide some or all of the following services depending on the Client’s selected plan:
- Professional website design and development
- Website hosting
- Website maintenance
- Website updates
- Security monitoring and protection
- Website backups
- CMS updates and maintenance
- Technical support
- Website performance and functionality maintenance
- SSL/security certificate management
- Digital forms
- Communication tools
- Organizational tools
- Donation-related integrations
- Third-party integrations
- Templates and organizational resources
- Other digital services or features described in the applicable service plan
Services are provided according to the scope, limitations, availability, and resources associated with the Client’s selected plan.
3. Website Services
3.1 Website Design
Prosperity Group designs and develops professional websites using a Content Management System (CMS) or other technology selected by Prosperity Group.
The CMS allows the Client’s website to be managed and maintained through an administrative environment.
Depending on the selected service plan, website design may include:
- Website structure and page creation
- Mobile-responsive design
- Visual customization
- Client-provided logos and photographs
- Contact forms
- Basic navigation
- Social media links
- Basic integrations
- Website content provided by the Client
- Other features included in the selected plan
Custom development, advanced functionality, specialized integrations, extensive content creation, photography, branding, logo design, custom programming, or other services outside the selected plan may require an additional fee.
4. Website Hosting & CMS
Prosperity Group may provide website hosting and access to a CMS as part of the Client’s subscription.
The CMS, hosting environment, configurations, development framework, proprietary components, security systems, and other underlying technology may be owned, licensed, operated, or controlled by Prosperity Group or its technology providers.
The Client receives access to and use of the website according to the terms of the applicable subscription.
The Client does not purchase or acquire ownership of the underlying CMS, source code, database architecture, hosting infrastructure, proprietary systems, development tools, or internal technology used to operate the website.
5. Website Updates & Maintenance
Prosperity Group may provide website updates and maintenance according to the Client’s selected subscription plan.
Updates may include:
- Text changes
- Image replacements
- Contact information
- Service schedules
- Events
- Announcements
- Links
- Minor content adjustments
- Minor layout adjustments
- Technical maintenance
- Security updates
- Other reasonable website changes included in the applicable plan
5.1 Updates Are Not Unlimited
Website updates are not unlimited, even when a subscription includes ongoing updates.
The purpose of included updates is to provide reasonable and routine maintenance and content changes within the scope of the Client’s subscription.
The number and complexity of requests that can reasonably be completed during a billing period depend on:
- The Client’s subscription plan
- The complexity of the requested work
- The amount of time required
- The number of requests received
- The technical requirements of the request
- Existing workload and available service resources
Clients may submit reasonable and customary website update requests during their active subscription period.
Prosperity Group reserves the right to determine whether a request falls within the reasonable scope of the Client’s subscription.
A high volume of requests, repeated revisions, extensive content changes, major redesigns, new pages, new functionality, custom programming, or requests requiring substantial additional labor may:
- Require an additional charge;
- Require the Client to purchase a higher subscription plan; or
- Require a separate project quote.
A subscription should not be interpreted as an unlimited labor or development agreement.
6. How Updates Are Requested
Website updates may be requested through the official communication channels designated by Prosperity Group.
These may include:
- Official email communication
- Client support channels
- Client support chat
- Other official communication systems provided to the Client
The official communication channels applicable to the Client will be communicated at the beginning of the service.
Requests made through unofficial channels, personal social media accounts, personal phone numbers, or other communication methods not designated as official support channels may not be considered formal service requests.
Prosperity Group may require sufficient information, files, instructions, or authorization before completing an update.
7. Security & Backups
Prosperity Group takes reasonable measures to protect websites hosted and managed through our services.
Depending on the selected service, security measures may include:
- Security monitoring
- Software and CMS updates
- Malware protection
- Firewall or security tools
- SSL certificates
- Website backups
- Security configuration
- Monitoring for common threats
- Technical maintenance
Security measures reduce risk but cannot guarantee that a website will never experience hacking, malware, unauthorized access, data loss, service interruption, or other security incidents.
No internet-connected system can be guaranteed to be completely secure.
Prosperity Group will make reasonable efforts to repair or restore affected services when the issue falls within the services we manage.
8. Client Responsibilities
8.1 Authority
You confirm that you have the authority to enter into this agreement on behalf of your organization or business.
8.2 Content
The Client is responsible for the accuracy, legality, ownership, and authorization of all information and materials supplied to Prosperity Group.
This includes:
- Text
- Photographs
- Logos
- Videos
- Documents
- Trademarks
- Copyrighted materials
- Personal information
- Contact information
- Organizational information
- Other materials
The Client confirms that it has the necessary rights and permissions to use the materials it provides.
Prosperity Group is not responsible for claims resulting from content, information, or materials supplied by the Client.
8.3 Accuracy of Information
Prosperity Group may publish or implement information supplied or approved by the Client.
The Client remains responsible for reviewing information displayed on its website and notifying Prosperity Group of errors.
Prosperity Group does not guarantee the accuracy, completeness, timeliness, or legal sufficiency of information supplied by the Client.
9. Website Content & Information
Prosperity Group may assist with formatting, publishing, organizing, or presenting Client information.
Unless content creation is specifically included in the Client’s plan or separately purchased, the Client is responsible for providing the information to be published.
Prosperity Group does not guarantee that information supplied by a Client is accurate, complete, current, legally compliant, or suitable for a particular purpose.
The Client should review important information before requesting publication.
10. Domains
The Client’s domain name remains the Client’s property when the domain is registered in the Client’s name or otherwise belongs to the Client.
Prosperity Group may assist with domain registration, DNS configuration, renewal, or management when included in the Client’s service.
The Client is responsible for providing accurate registration information and maintaining ownership information associated with the domain.
If Prosperity Group manages a domain on behalf of the Client, the Client may request the information necessary to manage or transfer the domain, subject to payment of all outstanding amounts and any applicable registrar requirements.
11. Third-Party Services & Integrations
Websites may use third-party services, platforms, APIs, payment processors, email providers, domain registrars, analytics platforms, donation systems, or other external technology.
Prosperity Group does not control third-party services and cannot guarantee their:
- Availability
- Pricing
- Performance
- Security
- Policies
- Compatibility
- Continued operation
- Features
- Account status
If a third-party provider changes, discontinues, restricts, or removes a service or feature, Prosperity Group may modify or replace the affected functionality when reasonably possible.
Additional third-party fees are the Client’s responsibility unless specifically stated otherwise.
12. Donation Systems & Payment Processing
Prosperity Group may provide website functionality that connects a Client’s website with third-party donation or payment platforms.
Many organizations use third-party payment providers such as Stripe or other payment processors.
Depending on the Client’s setup, Prosperity Group may:
- Place a donation button on the website
- Link the donation button to the Client’s third-party donation page
- Configure an integration with a third-party donation system
- Assist with technical configuration
- Connect the website to a third-party payment or donation service
- Provide other technical tools that facilitate access to a third-party donation platform
12.1 Stripe and Third-Party Payment Accounts
When a Client uses Stripe, Stripe Express, or another third-party payment service, the Client’s payment account and financial relationship are between the Client and the applicable payment provider.
Prosperity Group does not own or control the Client’s third-party payment account unless expressly agreed in writing.
Prosperity Group does not process, hold, custody, or control donated funds unless specifically authorized and legally structured to do so.
12.2 No Guarantee of Donations
Prosperity Group does not guarantee donations, donors, contributions, revenue, fundraising performance, donor acquisition, donor retention, or any specific financial result.
Providing a donation button, donation page, Stripe integration, or related technology does not mean that Prosperity Group is responsible for obtaining donors or generating donations.
The Client is solely responsible for its fundraising strategy, donor communication, promotion, advertising, campaigns, outreach, content, and organizational efforts.
12.3 No Guarantee of Payment Processing
Prosperity Group does not guarantee that a third-party payment provider will approve, process, settle, transfer, or maintain any payment or donation.
Issues involving payment processing, account verification, identity verification, banking, payouts, chargebacks, refunds, fraud reviews, account restrictions, payment disputes, or third-party compliance requirements are primarily matters between the Client and the applicable payment provider.
Prosperity Group may assist with technical website issues when they fall within our service scope, but we are not responsible for decisions or actions taken by third-party payment processors.
13. Website Portability
If the Client cancels website hosting or website services, the Client may request a copy or export of website media files and other Client-provided content or information that is technically available for export.
Prosperity Group does not provide or transfer:
- Source code
- Proprietary code
- Development code
- Proprietary scripts
- Internal software
- Database architecture
- Database structure
- Proprietary configurations
- Internal development tools
- Proprietary CMS components
- Security systems
- Hosting infrastructure
- Internal technical documentation
- Other proprietary technology used to develop or operate the website
This limitation exists because the website is provided as a managed service and may contain Prosperity Group’s proprietary development, systems, configurations, tools, and technology.
The Client is purchasing access to and use of the website service, not ownership of Prosperity Group’s underlying technology.
Any outstanding balance must be paid before the transfer or release of eligible website materials.
Certain third-party software, licenses, proprietary tools, integrations, or services may not be transferable.
Prosperity Group does not guarantee that a website will function identically on another hosting provider because hosting environments, software configurations, licenses, third-party services, and server settings may differ.
14. Ownership & Intellectual Property
14.1 Client Content
The Client retains ownership of content, photographs, logos, documents, trademarks, and other materials supplied by the Client.
However, the Client understands that Prosperity Group does not guarantee the accuracy, completeness, legality, or performance of information supplied by the Client.
The Client is responsible for reviewing and approving its information before publication.
14.2 Website Service
Unless otherwise stated in a written agreement, the Client receives a limited right to use the completed website for its organization or business while the applicable service remains active and the Client’s account remains in good standing.
The website is provided as part of a managed service rather than as a sale of the underlying technology.
14.3 Prosperity Group Technology
Prosperity Group retains all rights, title, and interest in its proprietary technology and intellectual property, including:
- Software
- Source code
- Development code
- Scripts
- CMS configurations
- Templates
- Design systems
- Development frameworks
- Programming methods
- Database architecture
- Database structures
- Hosting configurations
- Security systems
- Internal tools
- Automation systems
- Processes
- Workflows
- Technical methods
- Proprietary integrations
- Proprietary documentation
- Other technology developed or used by Prosperity Group
The Client does not acquire ownership of Prosperity Group’s underlying technology by subscribing to or paying for website services.
14.4 Third-Party Software
Third-party software, plugins, themes, APIs, fonts, stock photographs, integrations, and other licensed materials remain subject to their respective licenses and terms.
15. Additional Organizational Tools & Resources
Prosperity Group may provide organizations and businesses with additional tools or resources intended to assist with their operations and communication.
Examples may include:
- Letter templates
- Communication templates
- Event forms
- Event flyers
- Announcement templates
- Organizational forms
- Digital resources
- Marketing materials
- Administrative templates
- Other organizational resources
Some resources may be included in the Client’s subscription.
Other resources may be available as optional add-ons or additional services and may carry an additional charge.
The availability, pricing, format, and scope of these resources will be determined at the time of the request.
Providing a template, tool, design, or resource does not guarantee that it will produce a specific business, organizational, fundraising, attendance, marketing, or financial result.
16. Pricing & Billing
The price of services is determined by the Client’s selected plan, proposal, subscription, or order.
Unless otherwise stated:
- Subscription services are billed according to the selected billing schedule.
- Payments are due on the date specified during signup.
- The Client authorizes Prosperity Group or its payment processor to charge the selected payment method.
- Prices may change with appropriate notice.
- Taxes, government fees, domain fees, third-party service fees, or other applicable charges may apply.
17. Failed or Late Payments
If a payment fails, Prosperity Group may notify the Client and provide an opportunity to update the payment method.
If an account becomes overdue, Prosperity Group may temporarily suspend:
- Website access
- Hosting
- Website updates
- Technical support
- Security services
- Additional tools
- Other services associated with the account
If an account remains unpaid, Prosperity Group may terminate the applicable services.
The Client remains responsible for all amounts owed before termination.
Reactivation may require payment of outstanding balances and, where applicable, a reactivation fee.
18. Cancellation
Unless a different commitment is stated in the Client’s service agreement, either party may cancel a recurring service by providing written notice.
Cancellation does not eliminate amounts already owed.
Subscription fees already paid are generally non-refundable unless otherwise required by law or expressly provided in the applicable service agreement.
19. Website Suspension & Termination
Prosperity Group may suspend or terminate services when:
- Payments remain unpaid
- The Client violates these Terms & Conditions
- The Client uses the service for unlawful purposes
- The website creates a significant security risk
- The Client uses the service to distribute malicious or harmful content
- The Client engages in activity that may harm our systems, infrastructure, or other customers
When practical, Prosperity Group will provide notice before suspension or termination.
In cases involving security threats, illegal activity, abuse, or significant risk to our systems or other customers, immediate suspension may be necessary.
20. No Guarantee of Specific Results
Prosperity Group provides technology, websites, hosting, maintenance, updates, integrations, and digital tools.
We provide technology and support; we do not guarantee business or organizational results.
Prosperity Group does not guarantee:
- A specific number of website visitors
- A specific number of donors
- Donations
- Fundraising results
- Customers
- Leads
- Sales
- Revenue
- Attendance
- Search engine rankings
- Social media performance
- Advertising performance
- Conversion rates
- Email response rates
- Website traffic
- Business growth
- Organizational growth
- Specific financial results
- Specific results from any tool or resource
- Uninterrupted website availability
- Compatibility with every third-party service
- Permanent compatibility with future technology or software versions
The Client understands that successful use of a website or digital platform depends on many factors outside Prosperity Group’s control, including the Client’s content, promotion, advertising, reputation, market conditions, fundraising activities, audience, pricing, communications, and organizational efforts.
21. Service Availability
We make reasonable efforts to maintain reliable hosting and service availability.
Temporary interruptions may occur because of:
- Scheduled maintenance
- Emergency maintenance
- Hosting infrastructure problems
- Internet outages
- Domain or DNS issues
- Third-party platform failures
- Software problems
- Cybersecurity incidents
- Acts beyond our reasonable control
Prosperity Group will make reasonable efforts to restore affected services as soon as practical.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Prosperity Group’s total liability arising from or related to the services will be limited to the amount the Client actually paid to Prosperity Group for the affected services during the three (3) months immediately preceding the event giving rise to the claim.
Prosperity Group will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- Lost profits
- Lost donations
- Lost customers
- Lost revenue
- Lost business opportunities
- Loss of anticipated revenue
- Loss of goodwill
- Loss of fundraising opportunities
- Loss of data
- Business interruption
to the maximum extent permitted by applicable law.
Nothing in these Terms & Conditions is intended to exclude liability that cannot legally be excluded under applicable law.
23. Indemnification
The Client agrees to defend, indemnify, and hold harmless Prosperity Group, its owners, employees, contractors, representatives, and service providers from claims, damages, losses, liabilities, and reasonable legal expenses arising from:
- Content supplied by the Client;
- The Client’s violation of applicable law;
- The Client’s infringement of another person’s intellectual property rights;
- The Client’s misuse of the services;
- The Client’s fundraising or promotional activities;
- The Client’s use of third-party payment services;
- The Client’s violation of these Terms & Conditions.
24. Dispute Resolution
If a disagreement arises, both parties agree to first attempt to resolve the matter in good faith through written communication.
If the matter cannot be resolved informally, the parties may mutually agree to mediation before pursuing further legal remedies.
Nothing in this section prevents either party from seeking emergency or legally available relief when necessary.
25. Governing Law
These Terms & Conditions are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles.
Any legal proceeding arising from these Terms & Conditions shall be brought in a court of competent jurisdiction in Massachusetts, unless applicable law requires otherwise.
26. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, internet outages, power outages, hosting infrastructure failures, cyberattacks, government actions, pandemics, labor disruptions, or failures of third-party technology providers.
27. Changes to These Terms
Prosperity Group may update these Terms & Conditions from time to time.
For material changes, we will provide reasonable notice before the changes take effect.
Continued use of the services after the effective date of updated Terms & Conditions constitutes acceptance of the updated terms, to the extent permitted by law.
28. Entire Agreement
These Terms & Conditions, together with any applicable service plan, proposal, order, subscription agreement, or written amendment, constitute the agreement between Prosperity Group and the Client regarding the applicable services.
If a written service agreement specifically conflicts with these Terms & Conditions, the specific written service agreement will control with respect to that service.
29. Severability
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Acceptance
By subscribing to, purchasing, accessing, or using Prosperity Group services, the Client acknowledges that it has read, understood, and agreed to these Terms & Conditions.
The Client also acknowledges that Prosperity Group provides a managed technology service and that subscription services, website updates, technical support, integrations, tools, and resources are subject to the limitations and scope of the Client’s selected plan.
